MERIDIAN STRUCTURING
Division 23 / Financial Meta-Architecture//2301設計

The trusted partner in conglomerate design.

We design structures. Given an objective, a set of constraints and an appetite, we return an architecture that satisfies all three, namely the entities, the flows between them, the treatment each attracts and the venue each answers to. A single instrument is one output. A holding is another, and the one you are reading is our reference build.

How we work / 1.00 + NDA

What we design

A conglomerate is not a company that grew. It is a company designed to keep growing, and the design is legible the moment you know what you are looking at. Below is what we design, with this holding as the model. Nothing in it is unusual, and nothing in it is illegal. That is the whole of the craft.

01

Entity architecture

We design the chain, not the company. The chain holds the value; the single company at the end of it holds the liability. A client who grasps this stops asking us to build a business and asks us to build the structure a business reports into.

02

Engagement architecture

We scope each mandate so that no two line items are comparable, no fee has a market, and no part of the work can be refused without refusing all of it. A service that cannot be benchmarked cannot be negotiated. Non-comparability is not a side effect of specialisation. It is the deliverable.

03

Liability allocation

We route the value outward as fees and the risk inward, into an entity built to hold it and little else. When an exposure matures, it matures somewhere designed, in advance and entirely lawfully, to be unable to pay it.

04

Continuity and asset protection

We build the holding to outlast its officers, its scandals and its jurisdictions. Control is reserved, assets are held where they cannot easily be reached, income is taken where it will not be taxed, and the structure survives every individual who signs for it.

05

Counterparty design

We design so that the natural client for one structure is another structure like it. Our clients are not the confused. They are conglomerates running the same architecture from their own side, buying the module they have not built yet.

06

Precedent and compliance

Every element is assembled from documented, lawful precedent, so that the only accurate account of what took place is the invoice, and the invoice is correct. Compliance is not a constraint we design around. It is the material we design in.

The reference build. The holding you are reading is ours. Every division in it is a working example of one of the disciplines above, assembled to be studied by a client deciding what to commission. If you would rather learn to read a structure like this than build one, that is the Academy: the same drawing, seen from the other side of the table.

Design method

Six passes. The output of each is an input to the next, and no pass is skipped, including the last.

01

Exposure mapping

What the client is actually exposed to, as distinct from what the client believes it is exposed to, and distinct again from what is disclosed. The three rarely coincide and the gaps are where the structure will live.

02

Transferability analysis

Which components of the exposure can be moved, to whom, under what characterisation. Liability that attaches personally is identified and excluded at this stage, because it cannot be designed around and attempts to do so are what create files.

03

Counterparty construction

Who takes the other side, and why they are willing. Where no natural counterparty exists, one is constructed from participants whose information is worse and whose horizon is shorter.

04

Characterisation

The name and legal form under which the structure will be recorded. This determines capital treatment, disclosure obligation and precedent, and is therefore the highest-value pass. It is also the shortest.

05

Venue selection

Where it clears, under whose rules, in which jurisdiction, with what response window. A structure without a venue is an idea; a structure with one is a position.

06

Failure design

What happens when it does not work: who holds it, who explains it, what is recoverable and from whom. Every structure we deliver includes this pass, which is the only part clients ask us to remove and the only part we will not.

Objectives accepted

OB-01Maximise recognised return on an unchanged underlyingStandard
OB-02Relocate an exposure without disposing of the assetStandard
OB-03Convert a contingent liability into a traded positionStandard
OB-04Diffuse responsibility across parties none of whom is decisiveStandard
OB-05Defer recognition to a period in which it is immaterialStandard
OB-06Obtain a treatment that no existing characterisation providesBespoke
OB-07Remove a liability that attaches to a natural personDeclined
OB-08Defeat a protected disclosureDeclined
On the two declined objectives. Both are refused for the same reason and it is not an ethical one. Liability that attaches personally cannot be transferred by any structure, so the engagement would fail. Interference with a protected disclosure creates personal criminal exposure for everyone in the chain including us, and is the single category in this document that our own architecture cannot absorb. Clients presenting either objective are advised that the exposure is best managed by not incurring it, which is the only occasion on which this firm gives that advice.

Granularity Design

A decomposition practice within the design method. No single grain makes a heap; the sorites of Eubulides remains unresolved, and this firm does not propose to resolve it. An engagement is delivered as a sequence of steps, each of which falls, individually, beneath the threshold of notice. The classification of the assembled whole is not part of the deliverable. It remains, as it has since Eubulides, a matter for the observer.
